Partner agreement
The terms between Deliberate Design and the self employed people who sell for us. Plain English, nothing hidden. If anything is unclear, ask before you agree to it.
Who this is between
This agreement is between Deliberate Design of 2nd Floor, 3rd Office, 48 West George Street, Glasgow G2 1BP ("we", "us") and you, the sales partner. You agree to it by replying to our email with a clear yes, and it runs from the date of that reply. If Deliberate Design later becomes a limited company, this agreement carries over to that company on the same terms and we will tell you by email.
What you do
You find small businesses that need a website, tell them about us, and either book them a call with us or close the sale yourself at our prices and on our terms. You can use the call list we give you, your own contacts, or both.
Every client's contract is with us, under the terms on our website, never with you. You cannot sign anything on our behalf, change our terms, or promise anything that is not in the partner playbook.
Your status
You are self employed. You are not our employee, worker or agent, and nothing in this agreement makes you one.
- There are no set hours, no minimum amount of work, and no targets. You decide when and how much you work.
- We are not obliged to give you any work, and you are not obliged to take any.
- You can work for other people, including other web companies, at the same time.
- You can send someone else to do the work in your place, as long as they follow this agreement and the playbook and you tell us first. You pay them, not us.
- You provide your own phone, computer, internet and anywhere you work from. We do not pay expenses.
- You are responsible for your own income tax, National Insurance and any insurance you want to hold. We do not pay holiday pay, sick pay or pension contributions.
- You confirm you are allowed to work on a self employed basis where you live.
What you are paid
Commission is a share of what the client actually pays us for their build. If a client is given a discount, your commission is worked out on the discounted price. The rates when you sign are:
- A ready-to-go site or shop at the full £99: a flat £70.
- A tailored site: 50% of the agreed price.
- A custom site or a custom shop: 40% of the agreed price.
- Hosting: £10 a month for each of the first six months of hosting we actually receive from a client you brought in.
- First sale bonus: £50 when your first sale goes live.
- Five sale bonus: £100 in any calendar month in which five or more of your sales go live.
- Top seller: the partner with the most live sales in a calendar month, with at least three, gets a further 10% of everything they earned under this agreement that month. Every product counts as one sale. If two or more tie, the 10% is split between them.
A sale counts as live when the client has paid in full and their site is online. Commission belongs to the month the sale goes live, not the month it was agreed. Commission is not paid on domain names, extras the client buys from anyone else, or on hosting beyond the six months above.
We can change the rates with one month's notice by email. A change only applies to sales agreed after it takes effect. Sales already agreed are paid at the rate that applied when they were agreed.
How and when you are paid
- On the 1st of each month we produce a statement of everything that went live, every hosting month received and every bonus earned in the month before. You can see your own figures on the calls site at any time.
- We pay the statement by bank transfer to the UK account you give us, within seven days of the 1st.
- We use self billing: we raise the invoice on your behalf for each statement and send you a copy, so you do not need to invoice us. You agree to self billing, you will tell us straight away if you become VAT registered or stop being self employed, and you will keep the copies for your own records.
- If a client is refunded within 14 days of paying, the commission on that sale is deducted from your next statement, or repaid by you if there is no next statement.
- If two partners claim the same client, the one recorded first on the calls site is paid. We decide any dispute, in writing, and our decision is final.
How you sell
- You follow the partner playbook. Only the prices, discounts and offers in it may be used. Where the playbook gives a floor price, you never go below it.
- You never promise results, rankings, "top of Google" or any figure we have not given you. You never say there is no contract or no monthly cost.
- You say who you are and that you are calling for Deliberate Design. You never pretend to be the client's existing provider or anyone else.
- Before cold calling a sole trader, a partnership or an individual, you check the number against the Telephone Preference Service and you do not call numbers on it. If anyone asks not to be called again, you log it on the calls site and never call them again.
- You follow the Privacy and Electronic Communications Regulations and the UK GDPR, and any equivalent law where you are, for every call, text and email you make.
- You do not use automated dialling, recorded messages or bulk texting.
- You do not spend money on advertising or pay anyone else to recruit partners. We do not pay for either.
Our lead data and your login
- The call list, the calls site and everything on it belong to us. You use them only to sell for us under this agreement.
- You do not copy, export, share or sell the list or any part of it, and you do not use it for anyone else's business.
- Your login is yours alone. You keep the password private and tell us at once if you think anyone else has it.
- When this agreement ends you stop using the list, delete any copies or notes you hold about the businesses on it, and your login is closed.
Confidentiality
Our prices, floors, commission rates, client details, the playbook and anything about how we run the business are confidential. You do not share them with anyone outside Deliberate Design, during this agreement or after it. You may say publicly that you sell for us.
Ending the agreement
- Either of us can end this agreement at any time by email. No notice period and no reason needed.
- If you end it, or we end it for a reason other than a breach, you are still paid for every sale you agreed before the end date that goes live within 60 days of it, and your £10 a month hosting share carries on for the remaining months of the six.
- If we end it because you have broken this agreement, for example by misleading a customer, breaking the calling rules, going below a floor price or misusing the list, nothing further is paid, including hosting months still to come.
- Bonuses are only paid for months in which the agreement was in force for the whole month.
Responsibility
You are responsible for your own conduct on the phone and in writing. If a fine, claim or cost arises because you broke the calling rules, the law, or this agreement, you cover it. We are responsible for the sites we build and for the client's contract with us. Neither of us is liable to the other for lost profit or indirect loss. Nothing in this agreement limits liability for fraud or for anything the law does not let us limit.
Changes to this agreement
We can update this agreement with one month's notice by email. If you keep selling for us after the change takes effect, you have accepted it. If you do not want to accept it, end the agreement before then and the old terms apply to everything up to that point.
Which law applies
This agreement is governed by the law of Scotland and any dispute is dealt with by the Scottish courts. We would always rather sort a problem out by email first.
